Expand into commercial interior solutions.
After two years of cost cutting, Ashish Shah says Pepperfry now wants to be known for growth. The plan rests on three pillars: home decor, which drives more frequent visits than furniture; offline expansion, mostly through franchise studios; and B2B commercial interiors via Pepperfry for Business, backed by a 1.25 lakh sq ft manufacturing facility and partner factories.
Pepperfry earns money in four ways: 1. Marketplace commissions: independent furniture sellers list on pepperfry.com, and Pepperfry historically took a 15-20% commission while handling logistics and customer service. 2. Private labels: from around 2019 it added its own furniture and mattress lines, which carry higher margins but force it to hold inventory. 3. Studio Pepperfry: about 110 experience centres (74 franchise-owned, 36 company-owned in early 2026) where shoppers see products and designers help place orders. Franchising keeps capital spending low. 4. New lines: home decor (80,000+ SKUs), modular kitchens and wardrobes, and 'Pepperfry for Business', a design-and-build service for offices, retail, hospitality and institutions launched in 2026. Pepperfry keeps prices uniform across its own site, marketplaces and quick-commerce channels, and claims logistics reach across about 500 cities with a network of 1,100+ manufacturers.
TCC Concept Ltd, a BSE-listed realty services company, agreed in October 2025 to acquire about 99% of Pepperfry through a share swap. Inc42 reported completion was targeted for December 2025.
The initial filing valued a 95.18% stake at about $76.5 million (₹659.4 crore), implying roughly $80.4 million (₹693 crore) for 100%. A corrigendum raised the stake to 98.98% and the value to about $76.7 million (₹661.5 crore).
Revenue had fallen about 31% in FY24, losses continued and an IPO plan stalled. The deal valued Pepperfry far below its roughly $375 million valuation in July 2023.
No significant acquisitions by Pepperfry are confirmed in public filings. Its recent expansion has come through partnerships such as Imaginest for modular interiors.
In October 2025, publicly listed interior infrastructure and turnkey construction firm TCC Concept agreed to acquire an approximate 99% controlling stake in Pepperfry for roughly $76.6 million (₹660 crore) in a share-swap deal, combining TCC Concept's turnkey enterprise fit-out capabilities with Pepperfry's massive consumer brand and digital supply chain.
In 2022, Pepperfry acquired architectural and interior design firm Brandmakerr to launch its commercial workspace fit-out division, expanding beyond residential homeowners into corporate offices, retail stores, and hospitality projects.
Rather than buying competing furniture brands, Pepperfry partnered directly with regional manufacturing clusters in Jodhpur, Jaipur, and Saharanpur, offering artisan suppliers direct working capital advances and quality certification while developing its own private labels like Woodsworth and Amberville.
Pepperfry had filed draft IPO papers in 2022 but delayed its public offering due to challenging tech market conditions and the tragic passing of co-founder Ambareesh Murty. The transaction with TCC Concept provided a structured liquidity path for early venture investors while preserving brand continuity.
